In July 1982, Jan Stenbeck, CEO of a rapidly expanding Swedish business, approached Gerry Whent about partnering on a joint application for the UK’s second cellular radio licence. It was agreed that Racal would own 60% of the new company, Racal-Millicom Ltd., while Millicom would own 40% of the new business’s stock. The Racal-Millicom partnership was awarded the second UK mobile phone network licence in December 1982 after the rules were changed due to British government concerns about foreign ownership. Racal owned 80% of Racal-Millicom, 15% of Millicom plus royalties, and 5% of Racal-Millicom was owned by the venture capital firm Hambros Technology Trust. “The offer submitted by Racal-Millicom Ltd… provided the best chance for early national coverage via cellular radio,” said the UK Secretary of State for Industry.

With its first office located in Newbury, Berkshire, Racal-Vodafone (Holdings) Ltd was founded on January 1, 1985 as Vodafone under the new name of Racal-Vodafone (Holdings) Ltd. Racal Strategic Radio was renamed Racal Telecommunications Group Limited shortly afterward.

On December 29, 1986, Racal Electronics gave GB£110 million worth of shares to Vodafone’s minority owners, and Vodafone became a completely owned brand of Racal.

As part of Racal Electronics’ initial public offering (IPO), 20% of Racal Telecom’s equity was made available to the public on the London Stock Exchange on October 26th, 1988. Racal’s interest in Racal Telecom was valued at more than the entire value of Racal Electronics as a result of the successful flotation. Racal Telecom was split out from Racal in 1991 in order to maximise shareholder value.
